Welcome to **ShowingInspector** ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of the ShowingInspector website, mobile application, and related services (collectively, the "Website and App").

By accessing or using the Website and App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website and App.

## 1. Account Registration and Security
To use certain features of the Website and App, you may be required to create an account.
* **Accuracy:** You agree to provide accurate, current, and complete information during registration.
* **Security:** You are responsible for safeguarding your password and account credentials.
* **Liability:** You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

## 2. Permitted Use and Restrictions
You are granted a non-exclusive, non-transferable, revocable license to access and use the Website and App strictly in accordance with these Terms.

**You agree NOT to:**
* Use the Website and App for any illegal, unlawful, or unauthorized purpose.
* Interfere with or disrupt the security, integrity, or performance of the Website and App.
* Copy, modify, reverse engineer, decompile, or disassemble any part of the Website and App.
* Use automated scripts, bots, or scrapers to access, copy, or manipulate data within the Website and App.
* Upload any malicious code, viruses, or harmful materials.

## 3. User Content
"User Content" refers to the text, photos, inspection reports, notes, and other materials you upload or create using the Website and App (excluding Custom Branding and Client Data, which are addressed separately below).
* **Ownership:** You retain ownership of all your User Content.
* **License:** By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely for the purpose of operating, maintaining, and improving the Website and App.
* **Responsibility:** You represent and warrant that you have the right to upload your User Content and that it does not violate the privacy, intellectual property, or other rights of any third party (e.g., capturing unauthorized photos of a private property).

## 4. Subscriptions, Free Tier, and Payments
**a. Free Tier:**
ShowingInspector offers a free tier that allows users to generate up to three (3) property condition reports per calendar month at no cost. This limit resets on the first day of each calendar month. Unused reports from the free tier do not roll over to subsequent months. We reserve the right to modify, suspend, or discontinue the free tier at any time without prior notice.

**b. Upgrading to a Paid Subscription:**
To generate more than three reports per month or to access premium features on the Website and App, you must upgrade to a paid subscription ("Subscription"). By selecting a Subscription, you agree to pay the applicable monthly or annual recurring fees.

**c. Automatic Renewal and Recurring Charges:**
**Paid Subscriptions will automatically renew at the end of each billing cycle unless you cancel before the renewal date.** By upgrading and providing a payment method, you expressly authorize us (or our third-party payment processor) to automatically charge your payment method on file for the recurring Subscription fee, plus any applicable taxes, on a continuous basis.

**d. Payment Processing and Data Storage:**
We use secure, third-party payment processors, including Stripe, to bill you for our services. **We do not directly collect or store your full credit card number or financial information on our servers.** When you enter your payment details, that data is securely transmitted directly to, tokenized, and stored by Stripe in accordance with industry-standard PCI compliance. By subscribing to ShowingInspector, you also agree to be bound by Stripe’s Services Agreement and Privacy Policy.

**e. Cancellations, Downgrades, and Refunds:**
You may cancel or downgrade your paid Subscription at any time through your account settings. Cancellations or downgrades will take effect at the end of your current paid billing cycle, at which point your account will revert to the free tier limitations. All fees paid are non-refundable, and we do not provide pro-rated refunds for partial months of service.

## 5. Custom Branding and Intellectual Property
ShowingInspector allows you to upload custom branding materials, including personal headshots and brokerage logos ("Custom Branding"), to personalize your property condition reports.
* **License:** You grant us a limited, non-exclusive license to use, display, and process your Custom Branding solely for the purpose of generating your customized reports.
* **Your Responsibility:** You represent and warrant that you have the legal right, authority, and any necessary permissions from your brokerage or franchise to use and display the Custom Branding uploaded to your account. ShowingInspector assumes no liability for trademark or copyright infringement resulting from your unauthorized use of a brokerage's logo or branding assets.

## 6. Client Data and Confidentiality
In the course of using the Website and App, you may input information regarding your real estate clients, properties, and showings ("Client Data").
* **Ownership and Restrictions:** You retain sole ownership of all Client Data. We strictly agree that we will not sell, rent, lease, or share your Client Data with any third parties for their own marketing purposes. We will not use your Client Data to solicit your clients or circumvent your professional relationships.
* **Permitted Use:** We will only process Client Data to the extent necessary to provide, maintain, and support the Website and App (such as generating the requested property reports).
* **AI Processing:** We utilize third-party artificial intelligence providers to process photos and generate condition reports. Your Client Data is processed securely through these APIs and is strictly not used to train public AI models.

## 7. Intellectual Property
All rights, title, and interest in and to the Website and App, including its design, text, graphics, logos, and software, are the exclusive property of ShowingInspector and its licensors. You may not use our intellectual property without our express written consent.

## 8. Privacy
Your use of the Website and App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Website and App, you consent to our data practices as described in our Privacy Policy.

## 9. Disclaimers
* **"As-Is" Basis:** The Website and App are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
* **Professional Advice:** ShowingInspector is a tool to assist with property showings and inspections. It does not replace the advice or services of licensed real estate professionals, structural engineers, or certified home inspectors. We do not guarantee the accuracy or completeness of any reports generated through the Website and App.

## 10. Limitation of Liability
To the maximum extent permitted by law, ShowingInspector and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Website and App. Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid us to use the Website and App in the past 12 months.

## 11. Termination
We reserve the right to suspend or terminate your access to the Website and App at our sole discretion, without notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Website and App will immediately cease.

## 12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

## 13. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms within the Website and App or via email. Your continued use of the Website and App after the effective date constitutes your acceptance of the revised Terms.
